These Terms of Service (“Terms”) govern your access to and use of the website operated by VIGILO (“VIGILO,” “we,” “us,” or “our”). By accessing or using this site, you agree to these Terms. If you do not agree, please do not use the site.

1. About VIGILO and the scope of our services

VIGILO is a Texas-based provider of healthcare compliance, training, and consulting services focused on workplace violence prevention program development and survey-readiness. VIGILO is not a security guard, patrol, armed-security, or investigations company, does not provide security staffing, and does not perform law-enforcement functions. Any reference to “security” on this site refers to compliance contexts only — for example, the environment-of-care security risk assessment, the security-services committee member contemplated by Texas HSC Chapter 331, or security directors as part of our audience.

2. Informational content, not legal or safety advice

Content on this website — including descriptions of Texas Health & Safety Code Chapter 331, 26 TAC §133.55, HHSC Provider Letter PL 2024-10, The Joint Commission requirements, and OSHA guidance — is provided for general informational purposes. It is not legal advice and does not create an attorney-client relationship. Regulatory requirements change and apply differently to different facilities; you should confirm how any requirement applies to your organization with qualified counsel or the relevant agency before acting.

3. No guarantee of outcomes

VIGILO supports survey-readiness, regulatory compliance, and preparedness. We do not guarantee any particular survey result, regulatory determination, or safety outcome, and nothing on this site should be read as a promise that violence will be prevented or that a facility will pass a survey or avoid a citation. Our role is to help you build, document, and maintain a defensible program; the determinations of surveyors, accreditors, and regulators remain outside our control.

4. Engagements and fees

The website describes services and indicative pricing ranges. Any actual engagement is governed by a separate written services agreement that controls the specific scope, deliverables, and fees. VIGILO’s fees are charged on a flat-fee or subscription basis; we do not bill on a per-incident, per-patient, percentage, or success-fee basis. Pricing shown on the site is indicative and may change.

5. Acceptable use

You agree to use the site only for lawful purposes and not to: interfere with or disrupt the site or its security; attempt unauthorized access to any systems or data; scrape, harvest, or misuse content; submit unlawful, infringing, or harmful material; or submit protected health information (PHI) through the site. You are responsible for the accuracy of information you submit.

6. Intellectual property

The site’s text, design, graphics, logos, and other content are owned by VIGILO or its licensors and are protected by intellectual-property laws. You may view and share this content for your internal, non-commercial reference, but you may not reproduce, distribute, or create derivative works from it for commercial purposes without our prior written permission. The VIGILO name and logo are marks of VIGILO and may not be used without authorization.

7. Third-party references and links

We cite primary sources such as statutes, regulations, agency guidance, and accreditation standards, and may link to them. Those references are provided for convenience and accuracy; we do not control and are not responsible for third-party content, and citing a source does not imply its endorsement of VIGILO.

8. Disclaimer of warranties

The website is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or that content is complete or current at all times.

9. Limitation of liability

To the fullest extent permitted by law, VIGILO and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of — or inability to use — this website. This limitation does not affect the terms of any separate written services agreement, which governs the parties’ respective obligations and liability for an engagement.

10. Indemnification

You agree to indemnify and hold harmless VIGILO from claims, losses, and expenses arising out of your misuse of the site or violation of these Terms or applicable law.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute relating to the website is the state and federal courts located in Texas, and you consent to their jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time; the effective date above reflects the latest version. Your continued use of the site after an update constitutes acceptance of the revised Terms.
